The difference is you can encounter the Warden if you make a mistake in an ancient city, and it can happen again and again... But you cannot encounter the Wither unless you summon it.
And if you wish to fight the Wither head on, you can do it (even 2 Wither at the same time), because of the dps, compared to the dps of the Warden which is almost impossible to fight head on.
