Well, obviously Lee (the guy that owns 45% and does nothing), didn't really want to give away his shares - because if he did want, the most obvious and logical decision would be to give Duncan 32% of your 45% shares. That leaves you with 13% shares and Duncan gets his 32%, while the guys that actually fight for the company get an experienced Dragon next to them and don't lose any shares. Solvable in a blink of an eye.
