Ben Kallo, senior research analyst at Baird, discusses Tesla's proxy that asks shareholders to approve of Elon Musk's $56 billion compensation package. Investors are also voting on moving the company's state of incorporation to Texas. He speaks on "Bloomberg Surveillance."

Shareholder sentiment around "Magic Musk" has changed dramatically as the company faces quality control and production issues, reduced sales forecasts, and a 50% reduction in share price in 12 months. The compensation package developed by the Board (mostly Musk loyalists) was excessive (understated) and this time odds say they reject it = a probable Musk exit. We'll see.
