Thanks for the update: I disagree with you on the subject of privacy. I have a LLC & Corp in Texas, I filed FENCIN according to the rules. I regret filing, because Texas Comptroller listed a clickable link which revealed name of my Fencin filer. He is not as director neither is my manager, this was suppose to be private. I wanted a certificate of good standing with secretary of State and saw this link. The Public and President Trump Treasury need to know. Sorry Mr President they are exploiting this requirement, I will send letter to President Trump Team to deal with this.

The most dependable thing is not the law, any admin, the supreme court, or any government agency. It’s general non-compliance. They can’t enforce this and they know it.

If it weren't for your videos covering this debacle, I would not even know the FINcn existed or that I was supposed to be submitting/complying with this directive. How on earth could they expect someone/everyone to just know that there is a new magic rule to comply with? Or else...

As you mentioned The House passed H.R. 736, Protect Small Businesses From Excessive Paperwork Act of 2025, 408–0, on Monday. The bill, which goes to the Senate next, extends the deadline for filing BOI reports to Jan. 1, 2026. The deadline for most reports previously was Jan. 1, 2025, but the reporting requirements have been caught up in numerous court cases and are now on hold. What is the purpose of the courts if you give the info then it's determined unconstitutional later on makes no sense?

Just some FYI, H.R.736 — 119th Congress (2025-2026) Passed the house to extend the filing deadline. It will be rushed to the Senate and signed by Trump or what's the purpose of it. There is also another bill being introduced to repeal this so anything can still happen.

It's excessive paperwork burden to file BOI update within 30 days every time a business changes its senior management even without changing its ownership. And it's extreme burden for startups that every change in their board or cap table (e.g., issuing new stocks or options, converting convertible notes, completing new funding rounds, ...) may trigger BOI update filing within 30 days. It likely violates Paperwork Burden Reduction Act.

The Constitution guarantees fundamental rights, freedoms, and free choice to all people living in the United States. As far as U.S. criminal law is concerned, the most important of the above-mentioned rights and freedoms is the the principle of "presumption of innocence". The defendant does not have to prove his innocence; the government must prove his guilt beyond a reasonable doubt. Collecting photo IDs and personal information in the name of crime prevention without any suspicious causes and basic proofs is against this principle and unconstitutional.

What’s really messed up is that the court might rule against it but then it’s too late. The Supreme Court shouldn’t have lifted the injunction until the final rule was put down.

Awesome video! Watching this saved me from having to file the BOI. I'm sure there are many other people like myself who have an LLC that they haven't used in a while. At the 15:50 mark, he explains that inactive llcs are exempt from filing. ...thanks Mat!
