When a company does a spinoff when does the owner of the original stock see the stocks from the spinoff in their accounts?

I'm stil a lil bit confuse. so, spin off happened when a company build a new subsidiary and make it go public by selling the share of the new subsidiary to public?
and If a company just build a new subsidiary without selling some of its share to public, we don't call it spin off?

In other words, as an investor, don't plan on making any sort of profit from a spin off company. it's practically shit that massive corporations dumb off to the public because they can't seem to find another optimal solution; noted.
