He doesn’t want to deal with the SEC, by making it a private company he can make the comments he likes about Twitter without answering to SEC complaining that he is misleading the share holders and doesn’t have to worry about people shorting the company as well.

$54.20 a share - FINAL OFFER. Board has to make a decision - accept offer or decline. If it declines it needs to produce better offers otherwise Musk is right - the Board should go - it's not acting in the interests of shareholders! Keep your eye on the game. It will be interesting.
