1. For a Single Member LLC, is there ever any instance when it’s more prudent for it to be Member-managed? It seems choosing Manager-managed offers more advantages.
2. When using a provision allowing for appointment of officers, is there anything you need to provide to third-parties, other than the Operating Agreement itself, so the third-party, including lenders, know you have the proper authority?
3. Could you explain the simplest way to sign on behalf of a Single-member LLC where a Single-member holding company is its owner, and one individual is manager for both?

How would I pay myself in a structure with a single-member holding LLC (S-Corp) that owns my operating LLC, of which I’m the only owner and employee? How can this be done without piercing the corporate veil and losing asset protection, while still seeing the tax benefits of an S-Corp? Which LLC would handle payroll and how would dividends be distributed? Thanks!

Belize and Nevis offshore corporations will now have annual tax returns to file each year and corporate taxes that are, in my opinion, high, especially in the case of Nevis at 33%. Limited companies will have the same tax.

Businesses based in Nevis or all businesses, for example, even an internet business like a stock trading company where the income is produced outside of Nevis, would still be taxed at 33%.

Would you please get into this? It seems there has been some updated information since 2023.

I have a SMLLC taxed as an S-Corp. I will use this entity as my Holding Co. I am planning to create a new LLC taxed as a Partnership and use it as my Operating co. Can I use my SMLLC taxed as an S-Corp as my partner in this new LLC /Partnership or does the IRS view this as some kind illegal activitity or misrepresentation of ownership since technically I am the only human being in this partnership?
