Thanks for giving the highlights and lowlights of the first half of a 165-page filing. There a few incendiary assertions in there that I hadn't heard before. One wonders how a judge could determine if Twitter's response to discovery met the standard of reasonableness. Hard to see how giving a buyer a doctored version of your tracking software displays good faith. One way or another I imagine some of the discovery will appear and be, for want of a better word, entertaining.

Mr. Hoag, how common is it for two parties that don't trust each other at all to engage in a transaction like this?

It seems pretty clear that neither side thought the either was on the level at any point of this deal. Musk (ostensibly) wanted to buy the platform because he didn't trust the managers, and Twitter's managers never wanted to sell to Musk in the first place. I would think in such an environment doing business of any sort would be difficult and most people and businesses would avoid it

It's funny to see in the description that Musk is preventing carbon from entering into the atmosphere, then in the next sentence, highlighting that he is doing it on a large scale with Space X.

LOL, I had to go see if there were ads on twitter, and it happens that most of the posts I ignore are actually ads. I guess 25 + years on the internet helps in ignoring such things.

22:00 I don't necessarily agree with this assessment. If they're disclosures say it's "X" but its really "Y", then its a problem. At least in financial accounting, the standard is "Does it materially affect the users opinion of the statements." and I would have to say if the number went from 238 million to 16 million, it would. These are SEC filing, so they need to be pretty accurate. Even if its a metric Twitter created, it needs to be in line with what they are asserting. If Twitter is telling investors that 238 million users are monetizable but only 16 million see ads, than that a problem. At a minimum, they'd need to refile.

I'll wait for the cliffnotes. Or maybe tune in mid-October when the trial starts. All this intermediate stuff is just drama in the short term.

Hoeg quick question, what happens if someone uses Twitter for like 1 hour per day, but they do it using an Ad Blocker and Twitter count that person in the mDAU, wouldn't they kinda of being lying? I know you cannot track which people use Ad Blockers but they do exist.

About half of the tech companies I work with instituted hiring freezes this past spring/summer -- is it really not in the ordinary course of business if it's an industry-wide pull back of hiring due to inflation/recession concerns?
