Tesla Shareholders Urged to Reject Musk's $56 Billion Pay Package

Tesla Inc. shareholders are being urged by proxy adviser Institutional Shareholder Services to reject Chief Executive Officer Elon Musk’s $56 billion compensation plan, setting up another hurdle for the electric carmaker’s board. Hey, how would you like to NOT get your sallary once you've completed everything that was asked of you on your job? We can argue after you've completed your job that your sallary is too big and decide not to compensate you at all. What people do not understand about the compensation package is that it is not 56 bilion dollars of money paid to Elon. Tesla is not paying a dime actually. The compensation package is an option for Elon to buy 304 million shares at 2018 prices (23.34$) when the deal was approved by shareholders. That would dilute the shareholders to some extent, but also bring about 7 billion dollars to Teslas bottom line. The compensation package also prohibits Elon to sell those shares for at least 5 years, which would incetivize him to work harder and make those share worth more in the next 5 years. Why don't you talk about it that way instead of talking about 56 billion dollars which actually do not exist?

I don't have a whole lot of shares of Tesla but everyone I have I will be voting for Elon Musk.
And I'm not talking just about Tesla he's done more for the country and more for the world and probably every other human being in history.

I typed into CHATgpt "What is the legal argument to change musk's compensation package?"

One of the answers was "Fiduciary Duty: Board members have a fiduciary duty to act in the best interests of the shareholders."
But doesn't "Fiduciary Duty" come into play by maintaining the company's word and bond with contracts written? If the company abandons past agreements this would reflect poorly on potential contracts necessary for going forward and thus hurt the fiduciary interest of the company.
Example: Tesla wants to create a company in "x" city (no pun intended) but the city manager advises the council members to decline based on the past track record of the company, Tesla, not living up to contractual obligations.
The fiduciary interest of a company has more to do than with a temporary money grab, which Musk's compensation package doesn't even afford the board to do. As I understand it even the dilution of stock was taken into account when this was voted on in 2018.
I haven't heard a single argument to defend declining his compensation package. Are there any atty's out there who can shed some light on this insane lawsuit?
