To those who faced the issue of the color changing on the nested layer, I tried this:
on the main transition (mov) layer - Applied the effect : Change to Color and changed it from Red to Black. Then on the nested layer, applied the ULTRA key effect. And selected the Black Color, adjusted the Matte Generation Transparency 100%. This worked for me. Thank you Tushar for these transitions!

colour of footage changes when i put the second clip under the nested clip...please help

This example shows silent clips. However, if you have sound and you move the nested clip up and the 2nd clip over, the audio goes out of sync. How can you use this transition and not lose sync to the audio?
