This vote, especially the move to Texas, make the judge look like a dunce. These 2 voter approvals will have a very bad impact on Delaware and if the judge doesn't handle it very carefully and unwind her bad decision, Delaware will pay a severe price. No company will incorporate in a state where the law can be twisted like a pretzel.

Surely the logic of Lipton's argument about the lawyer's fee is that the Tesla shareholders should decide whether to pay him or not? What sort of a legal system allows a lawyer to appoint himself your representative against your will and then get paid even when you decide not to take his advice?
