I see the poison pill as a prudent step by the board to represent the rights of existing shareholders to defend the future takeover of the company. If they had not adopted that action, there could have been counter lawsuits against the board for just rolling over and not protecting the shareholders. prudent steps to for them to defend their actions and in the end allow for a seamless takeover.
