Honda S2000 Noise - Help!

Am getting an annoying noise on my S2K, generally happens when the car is warmed up - very rarely on a cold start, its the 'grumbly' 'tinny' noise as the rev's die in this video. Often get it when accelerating at low revs, don't hear it at high revs or when at a constant speed - please help!!

the cat is gone bad i think. there was something about it on one of the videos from Andy's Auto Sport i think. He took the cat out and shook it, all these little burnt manifold pieces came out. I believe it was the same sound, but can't promise I'm not confusing it with some other video.

also, my S2000's "room hook" the part that connect the convertible top to the windshield, seems to rattle when I go over bumps, anybody know anything about this?
