⚖️ Do you think Elon will be forced to buy Twitter?

Man as a transactional lawyer myself I couldn’t think of a good way to explain MAE clauses in YouTube. You are doing an amazing job 👍🏼

"The Delaware courts are fast! This could get dealt with in months!" I love the way "fast" legally is still measured in weeks at best.

Musk actually pulled out of something for once.

Being a lawyer for Musk must be a nightmare.

I do M&A for a living and the fact the he signed a Purchase agreement without doing effective Due diligence shows musk was trying to do this as a flex rather then actually having a true interest in twitter.

As a former pest control technician, 5% termites is NEVER acceptable.
He is simply manipulating the market.

The corporate world should rejoice with this outcome. Imagine being so rich you can just fake a hostile takeover of your competition just to have a peak at their books. No one should be glad this was even tried.

I love hearing about this because I've never heard of a company being like "we are sueing you to buy us"

Can Elon get out of the deal? Can Musk pay $1billion dollars to cancel the contract? Can a judge force Musk to go through with this multi-billion dollar deal?
If I've learned one thing from LegalEagle, it's that the answer to those questions is....it depends.

My favourite bit is twitter saying that he never read the contract, and then Musk replied with the poop emoji when Twitter claimed it was an example of disparaging behaviour, before he confirmed himself it WAS disparaging behaviour. It's almost like he's trying to lose.

Devon, I'd love to hear more of your opinion on how much stress someone like Musk, who won't stop making public statements, puts on his lawyers.

You know the funniest thing about this? Even though no outcome of this will make things better for the working class, Musk paying tens of billions of dollars to buy Twitter from the millionaires that currently own it would STILL technically be an unprecedented downward transfer of wealth.

I love how LegalEagle tackles these stories quickly, but also puts the time and research in to not be a clickbait, but rather a comprehensive look into a hot topic.

Imagine paying a billion dollars and walking away from your mistake being the BEST case scenario.

Elon Musk disciplined employees for criticizing him. Elon Musk intentionally does stupid stuff to get people to criticize him, that's entrapment.

wild how he went from 4 - 5 times, to 10 times to 18 times the "bots" in a matter of 15 seconds. master of doublespeak

Fun fact: If you buy a house and forgo a home inspection, and it turns out there are more termites than previously advertised to you, you still have to buy the house.

Commager

rewatching this after seeing the royal shitshow he's turned twitter into is really something else

So basically:

- Musk wanted to buy twitter to "make it better" and "fix the bot issue"
- Musk waives Due Diligence
- Musk then pulls out because "There are more bots than you told me" and "they didn't let me do Due Diligence"

Yeah a very smart and trustworthy guy here...
